1. Agreement to Terms

By accessing or using the Synapse platform (“Service”), operated by Synapse HR, Inc. (“Synapse,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not access or use the Service.

These Terms apply to all visitors, users, and others who access the Service, including users who access the Service through our mobile application or API. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

Synapse is an AI-powered recruiting automation platform that provides candidate sourcing, AI-driven candidate scoring, automated outreach generation, email campaign management, ATS integrations, and related recruiting tools. The Service is designed for recruiters, recruiting agencies, and internal talent acquisition teams.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We will make commercially reasonable efforts to notify you of material changes that affect your use of the Service.

3. Registration and Accounts

To use the Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to:

  • Provide accurate, current, and complete registration information.
  • Maintain and promptly update your registration information to keep it accurate, current, and complete.
  • Maintain the security of your account by not sharing your password or API keys with third parties.
  • Notify us immediately of any unauthorized use of your account or any other security breach.
  • Accept responsibility for all activities that occur under your account.

We reserve the right to suspend or terminate your account if any information provided during registration or thereafter proves to be inaccurate, false, outdated, or incomplete.

4. Billing and Subscriptions

Synapse offers subscription-based plans with varying levels of access and quotas. By subscribing to a paid plan, you agree to pay the applicable fees as described on our pricing page at the time of purchase.

4.1 Free Trial

We may offer a 14-day free trial on paid plans. No credit card is required to start a free trial. At the end of the trial period, your account will revert to the Free plan unless you subscribe to a paid plan.

4.2 Subscription Billing

Paid subscriptions are billed in advance on a monthly or annual basis depending on the billing cycle you select. Subscription fees are non-refundable except as expressly stated in these Terms or as required by applicable law.

4.3 Price Changes

We may adjust pricing from time to time. Any price changes will take effect at the start of your next billing cycle following at least 30 days’ notice. Your continued use of the Service after the price change takes effect constitutes your agreement to pay the updated amount.

4.4 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. You will retain access to paid features until the end of that period.

5. Credit System

Certain features of the Service operate on a credit or quota-based system. Credits and quotas are allocated according to your subscription plan and are tracked server-side by Synapse.

  • Plan quotas (searches, outreach sends, exports) reset at the beginning of each billing cycle.
  • Add-on credits purchased separately do not expire at the end of a billing cycle and persist until consumed.
  • Credits are non-transferable between accounts or organizations.
  • All credit calculations are performed server-side. Client-reported credit values are not authoritative.
  • Unused plan quotas do not roll over to the next billing cycle unless otherwise specified.

6. Third-Party Integrations

The Service integrates with third-party platforms including, but not limited to, applicant tracking systems (ATS), email sending tools, and AI providers. When you connect a third-party service:

  • You are responsible for complying with the terms of service of each third-party platform.
  • You grant Synapse permission to access and transmit data to and from those platforms as needed to provide the Service.
  • Integration credentials (API keys, OAuth tokens) are stored using AES-256-GCM encryption and are scoped to your organization.
  • Synapse is not responsible for the availability, accuracy, or performance of third-party services. Outages or changes to third-party APIs may temporarily affect integration functionality.

7. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws, regulations, or the rights of others, including anti-spam laws (CAN-SPAM, GDPR, CASL, and similar legislation).
  • Send unsolicited bulk email or messages that violate applicable anti-spam regulations.
  • Harvest, collect, or store personal information about candidates or other individuals for purposes unrelated to legitimate recruiting activities.
  • Attempt to gain unauthorized access to any portion of the Service, other accounts, or any systems or networks connected to the Service.
  • Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service.
  • Use the Service for any purpose that is fraudulent, deceptive, or discriminatory.
  • Circumvent or manipulate the credit, quota, or billing systems.
  • Resell, sublicense, or redistribute access to the Service without our prior written consent.

We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates this section, including removing content, suspending or terminating accounts, and reporting violations to law enforcement authorities.

8. Data and Content

8.1 Your Data

You retain all ownership rights to the data you submit to the Service, including job descriptions, candidate notes, outreach templates, and organization-specific configurations (“Your Data”). You grant Synapse a limited, non-exclusive license to use, process, and store Your Data solely as necessary to provide and improve the Service.

8.2 Candidate Data

Candidate data sourced through the Service may originate from publicly available sources, proprietary databases, or enrichment providers. You are responsible for ensuring that your use of candidate data complies with all applicable privacy laws and regulations, including obtaining any required consents.

8.3 AI-Generated Content

Content generated by AI features (outreach emails, candidate summaries, scoring explanations) is provided for your use as a starting point. You are responsible for reviewing, editing, and approving all AI-generated content before sending it to candidates. Synapse does not guarantee the accuracy, appropriateness, or completeness of AI-generated content.

8.4 Data Portability

You may export Your Data at any time through the Service’s export functionality. Upon account termination, we will retain Your Data for 30 days, after which it will be permanently deleted unless otherwise required by law.

9. Intellectual Property

The Service, including its original content, features, and functionality, is and will remain the exclusive property of Synapse HR, Inc. and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws.

Our trademarks, service marks, and trade dress may not be used in connection with any product or service without our prior written consent. Nothing in these Terms grants you any right, title, or interest in the Service other than the limited right to use the Service in accordance with these Terms.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SYNAPSE HR, INC., ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE;
  • ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE;
  • ANY CONTENT OBTAINED FROM THE SERVICE, INCLUDING AI-GENERATED CONTENT;
  • UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT;
  • THE ACCURACY, COMPLETENESS, OR RELIABILITY OF CANDIDATE DATA OBTAINED THROUGH THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Disclaimers

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND COURSE OF DEALING.

Synapse does not warrant that: (a) the Service will function uninterrupted, secure, or available at any particular time or location; (b) any errors or defects will be corrected; (c) the Service is free of viruses or other harmful components; (d) the results of using the Service, including AI-generated content and candidate scoring, will meet your specific requirements or expectations; or (e) candidate data sourced through the Service is complete, accurate, or up to date.

12. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

Upon termination: (a) your right to use the Service will immediately cease; (b) if you have a paid subscription, no refunds will be issued for the remaining period unless required by applicable law; (c) your data will be retained for 30 days to allow for export, after which it will be permanently deleted; and (d) provisions of these Terms that by their nature should survive termination shall survive, including ownership, warranty disclaimers, indemnity, and limitations of liability.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will make reasonable efforts to provide at least 30 days’ notice prior to the new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use the Service after those revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new terms, please stop using the Service and cancel your subscription.
